Welcome to Memorecs, where you can add a memory to anything. These Terms of Service ("Terms") are a binding agreement between you and [Memorecs For Digital Solutions], a company registered in the Arab Republic of Egypt under commercial registration no. [11070 02000 54453] ("Memorecs", "we", "us" or "our").
The short version. This box is a plain-language summary to help you read the Terms. It is not a substitute for them.
A Memorecs code (usually a QR code on a card, sticker or product) opens a digital Memory: voice, video, images, notes, documents or links.
Whoever first adds content to an unused code becomes its Owner. Keep unused cards safe.
Anyone who scans a code can usually open what is on it, unless the Owner has locked it with a password. Do not put anything on an unlocked code that you would not want a stranger to see.
You own what you upload. We only use it to run Memorecs. We do not sell it, use it for advertising or use it to train AI models.
You are responsible for what you upload, including content showing other people.
If something is reported, we may hide it while we review it. The Owner is told and can appeal.
Mandatory rights you have under Egyptian consumer and data-protection law are never reduced by these Terms.
These Terms apply when you visit memorecs.com, scan a Memorecs code, add or view content, create an account, contribute to a Guestbook, or buy Memorecs products (together, the "Services"). By doing any of these, you agree to these Terms and to our Privacy Policy, which explains how we handle personal data. If you do not agree, please do not use the Services.
If you use the Services for a company, shop, clinic or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.
1. Definitions
- Code means a Memorecs QR code, NFC tag, short link or other identifier, usually printed on a card, sticker or product, that opens a Memory.
- Memory means the digital page a Code opens and the Content on it. The same Memory can be a keepsake (a message on a gift) or a practical record (a note on how to use or care for something). We call both a Memory in these Terms.
- Content means anything added to the Services: voice recordings, audio, video, photographs and images, text and notes, documents, links, names and captions.
- Owner means the person who controls a Code and its Memory, as explained in Section 4.
- Viewer means anyone who scans a Code or opens its link to see or hear a Memory, including the person a gift was meant for ("Recipient").
- Guest means anyone who adds Content to a Guestbook that belongs to someone else.
- Account means a registered Memorecs account.
- Claim means linking a Code to an Account.
- Product means a physical item carrying a Code, such as a gift card, sticker, tag or printed item, whether standard or customized.
- Business Customer means a company or trader who buys Products for resale, for an event, or for use in its business. This includes event planners, gift shops, stationery stores and corporate buyers.
2. How Memorecs works
Memorecs links physical things to digital Memories. When a Code is scanned, it opens a Memory in a web browser. No app or account is needed to view it. Depending on the Product, a Memory can hold voice recordings, images, video, links (for example to a video or a song), text notes and documents.
We currently offer three types of Memory. A Product's description tells you which type its Code is.
2.1 Message
A Message is a one-time memory, for example a voice note on a gift card.
- The Owner adds Content once. The Message is then locked.
- Viewers can open a locked Message as many times as they like.
- After locking, the Owner may make a limited number of edits, as shown on screen. The Owner can also add a password or delete the Message at any time.
2.2 Guestbook
A Guestbook is one Code for an event, such as a wedding, party or conference.
- The Code can be scanned many times, and Guests can add contributions such as a voice note, photo, video or written note.
- The Owner chooses which contribution types are allowed. The Owner also sets limits, for example one contribution of each type per device.
- A Guestbook is linked to the Owner's Account. This lets the Owner view, manage, download and remove contributions.
- Guests do not need an account and can contribute without giving their name.
2.3 Journal
A Journal is a Memory that grows over time. Entries such as notes, voice, video, images, links and documents stack up on one Code, which can be attached to almost any object.
- Anyone who scans a Journal Code can read all of its entries, unless the Owner has locked it with a password.
- Only the Owner can add, edit or remove entries.
2.4 Accounts and Claiming
You can create and view many Memories without an Account. You can also Claim a Code to your Account at any time. Claiming gives you more control and privacy, for example managing the Code from a dashboard, password-locking it, or recovering control if you change device. Some features, including Guestbooks, need an Account.
2.5 Features may change
We improve Memorecs regularly and may add, change or retire features. If a change materially reduces a feature you paid for, we will tell you in advance and, where appropriate, offer a proportionate refund.
3. Who can use Memorecs
- Accounts may only be created by people who are 18 or older. If you are under 18, you may use the Services, for example as a Guest or Viewer, only with the permission and supervision of a parent or legal guardian, who accepts these Terms on your behalf.
- We do not knowingly allow children under 15 to provide personal data to us without the written consent of a parent or guardian. Section 8.3 covers Content that shows children.
- You may not use the Services if we have previously suspended you for a serious breach, or if Egyptian or other applicable law forbids you from doing so.
4. Codes, Owners and control of Content
4.1 Who is the Owner
- Unclaimed Codes. The Owner of an unclaimed Code is the person who first adds Content to it. This is called activating the Code. That person can then manage the Code from the same device and browser, or by Claiming it.
- Claimed Codes. The Owner of a claimed Code is the Account holder it is linked to.
- Guestbooks. The Owner of a Guestbook is the Account holder who set it up.
4.2 Keep unused Codes safe
An unused Code can be activated by whoever scans it first. Until you activate or Claim it, treat a Product like cash. We are not responsible if someone else activates a Code before you do. If this happens, contact us with proof of purchase. We will try to help, but we cannot guarantee that we can recover the Code.
4.3 Possession is not ownership
Holding a physical card or Product does not make you the Owner of the Memory it opens. For example, the Recipient of a gift card can view the Message, but the Owner (the person who recorded it) keeps control of it. Recipients should know that the Owner can edit (within limits), password-lock or delete a Message at any time. If you have received a Memory you want to keep, save your own copy where the Service allows it.
4.4 Transferring a Code
Where the Service supports it, an Owner may transfer a Claimed Code to another Account. We may ask both people to confirm the transfer. We do not decide disputes between private parties about who should own a Memory. If we receive conflicting claims, we may temporarily restrict the Code until the parties agree, or until a competent court or authority decides.
4.5 Deactivating Codes
You can edit, lock or delete the code from your account (must be already claimed), for example if a card is lost or stolen. We may also deactivate or restrict a Code under Sections 10 and 19, or if it is being used to commit fraud.
5. Accounts and security
- Give accurate information, keep it up to date, and do not impersonate anyone.
- Keep your password and sign-in methods secret. You are responsible for what happens in your Account unless it happens because of our failure.
- Tell us promptly at [Info@memorecs.com / WhatsApp] if you think someone has accessed your Account or your Codes without permission.
- Passwords on Memories. If you lock a Memory with a password, choose a strong one and share it only with people you trust. We do not store Memory passwords in readable form, so we cannot tell you what they are. We may be able to reset access after verifying that you are the Owner.
6. Who can see your Content
Memorecs is built around sharing. Before adding Content, please understand the following.
- A Code works like a key. Anyone who holds the Product, sees it, or receives a photo of the Code or its link can open the Memory, unless it is password-locked. Codes are often placed on gifts and objects that other people handle, and in public places.
- Journals are readable by anyone who scans them, unless they are password-locked.
- Guestbook contributions can be seen by the Guestbook Owner, and by anyone else the Owner chooses to share them with.
- We cannot control what Viewers do. A Viewer can screenshot, record, download or forward Content that they can access. Once Content has been seen, deleting it from Memorecs cannot remove copies other people have made.
- Do not put confidential or sensitive information on an unlocked Code. This includes ID numbers, banking details, passwords, home addresses, and medical or legal information.
7. Your Content and the rights you give us
7.1 You own your Content
You keep all ownership rights in Content you add. We do not become the owner of your recordings, photos, videos or words because you store them with us.
7.2 Licence to Memorecs
You give Memorecs a non-exclusive, royalty-free, worldwide licence to host, store, copy, convert, compress, transmit and display your Content. This licence is only for what is needed to:
- operate, secure and support the Services;
- show the Memory to the people who can access it under Section 6;
- make technical backups; and comply with the law.
The licence ends when your Content is deleted from our live systems. Limited exceptions are described in Section 19.3 and in our Privacy Policy, for example backups, content under review, and legal holds.
7.3 What we will never do with your Content
- We will not sell your Content.
- We will not use it for advertising or publicity, or show it on our website or social media, without your separate, explicit permission.
- We will not use it to train artificial-intelligence models without your separate, explicit permission.
- Our staff access Content only when needed for one of these reasons:
- to provide support you ask for;
- to review a report (Section 10);
- to investigate security or abuse; or to comply with the law.
7.4 Guest contributions
If you add Content to someone else's Guestbook, you also give that Guestbook's Owner a non-exclusive, royalty-free licence. It lets the Owner keep, view, download and share your contribution for personal and event-related purposes, such as an event album or video. It does not cover selling your contribution or using it in advertising. Once you have submitted a contribution, the Owner controls it.
8. Your responsibilities for Content
8.1 You must have the rights
When you add Content, you confirm that:
- you own it, or have permission to use it in this way;
- it does not infringe anyone's copyright, trademark, privacy, image or other rights; and adding and sharing it is lawful.
8.2 Content about other people
If your Content shows or names other people, or contains their voice, you are responsible for having their permission, or another lawful basis, to include them. This matters especially for people who are not public figures, and for private conversations.
8.3 Children
Only include a child's image, voice or personal information if you are the child's parent or guardian, or have their permission. Never include information that would let a stranger locate or contact a child, such as their school, address or routine.
8.4 Sensitive information
Do not add sensitive personal data about anyone else, such as health, financial, biometric, religious or political information, unless you are legally permitted to and, where required, have their explicit written consent. Section 12 adds further rules for professional records.
8.5 Back up what matters
Keep your own copies of irreplaceable Content. Memorecs is not a backup service (Section 16).
9. Acceptable use
You must not use the Services to add, link to or share Content that:
- is illegal or encourages a crime;
- sexually exploits or endangers children in any way (we report this to the authorities);
- is sexually explicit, or shares intimate images of anyone without their consent;
- harasses, threatens, bullies, defames or humiliates a person, or promotes hatred or violence against people based on who they are;
- reveals someone's private information without their permission;
- impersonates a person or organisation, or misleads people in order to harm them;
- infringes intellectual-property rights; or
- contains malware, phishing, scams or spam, or links to them.
You must also not:
- try to access Memories, Accounts or Codes that you are not authorised to use, including by guessing or generating Code links, or bypassing passwords;
- manipulate Guestbook limits by working around once-per-device rules or faking devices, for example to win a contest or vote;
- copy, scrape or bulk-download the Services or other people's Content;
- reverse-engineer, overload, interfere with or test the security of the Services without our written permission;
- use the Services to build a competing product; or
- resell, sublicense or offer access to the Services, except as a Business Customer under Section 14.
10. Reporting, moderation and appeals
10.1 Reporting
Anyone who views a Memory can report it using the Report option on the page. Reports can also be sent to [Info@memorecs.com]. Reports are confidential. We do not tell the Owner who made a report.
10.2 How we respond
We do not monitor all Content, but we act on reports and on what our automated tools flag. These tools include text filters and checks for unusual patterns. We respond in proportion to the seriousness of the issue. We may:
(a)hide Content immediately while we review it, where it appears seriously harmful or unlawful;
(b)show a warning screen before the Content, so Viewers can choose whether to continue; or
(c)leave the Content visible while we review it.
The number of separate reports can affect which of these steps we take.
10.3 Quarantine
When we remove Content after a review, we usually quarantine it rather than delete it straight away. Quarantined Content is hidden from everyone and kept securely for a limited period (see our Privacy Policy). This means that:
- Content can be restored if an appeal succeeds; and
- we can meet our legal obligations, for example to preserve evidence for the authorities.
10.4 Notice and appeal
Where we know how to reach the Owner, we will tell them when their Content is hidden, put behind a warning screen or removed, and why. We will not do this where the law forbids it or where it would put someone at risk.
The Owner can appeal within [14] days by replying to our notice or contacting [Info@memorecs.com]. A different reviewer will look at the appeal where possible. We will tell the Owner the outcome.
10.5 Repeat or serious misuse
If Content or conduct seriously breaches Section 9, or a person repeatedly breaches it, we may restrict that person's devices, Codes or Accounts from adding Content, or suspend them (Section 19).
10.6 Legal requests and copyright complaints
We may preserve or disclose Content when Egyptian law or a valid order from a competent authority requires it. Rights-holders can send complaints to [Info@memorecs.com]. A complaint should identify the work, the Code or link, the complainant's contact details, and the basis of the claim.
11. Guestbooks and events
If you are a Guestbook Owner:
- Tell your Guests. Let Guests know, for example on a sign beside the Code, that their contributions go to you. Tell them whether contributions may be shown publicly, such as on a screen at the venue or in a shared album.
- You are responsible for your Guestbook. This includes deciding what to keep, show or share, and removing anything inappropriate. You can report a contribution to us under Section 10.
- Contests and voting. If you run a contest, vote or prize draw using a Guestbook, you are its organiser and are responsible for its rules and for following the law. Our once-per-device limits reduce duplicate submissions, but no technology can guarantee one person, one entry. We are not responsible for the outcome of any contest.
- Children at events. If Guests may include children, make sure a parent or guardian agrees before the child contributes.
12. Using Memorecs for professional records
Some customers use Memorecs as a record. For example, a pharmacy or clinic might place a Code on a package to explain to a patient how to take a medicine, or a business might use one to give product instructions. If you use Memorecs in this way:
- You must follow the rules of your profession and the law that applies to you. This includes confidentiality and data-protection obligations. For health information, you must get the person's explicit written consent where the law requires it.
- Lock with a password any Memory that contains personal or health information. Assume that an unlocked Code may be read by anyone who finds it.
- When you put personal data about your clients or patients on Memorecs, you decide why and how that data is used. We process it on your behalf, under these Terms and any data-processing agreement we sign with you. Contact us before starting this kind of use at scale.
- Memorecs is not a medical-records system, a clinical tool, or a replacement for professional advice, packaging or legally required labelling.
13. Ordering Products
13.1 Bulk orders
We sell Products in bulk. The minimum order quantity and the price are shown in our quotation or on our website. Unless we agree otherwise in writing, an order becomes binding when we confirm it in writing (email or WhatsApp is enough) and receive any deposit stated in the quotation.
13.2 Customization and proofs
For customized Products, you must send us your artwork, logo, names and text. You confirm that you have the right to use them. Before production, we will send you a digital proof. Production starts only after you approve the proof. We are not responsible for errors you approved, such as spelling mistakes in names or dates. Colors and finishes may vary slightly between screens and printed materials, and between print runs.
13.3 Delivery and inspection
Delivery dates are estimates. Delivery may be delayed by events beyond our reasonable control (Section 22). Please check deliveries promptly. Tell us about any missing, damaged or defective items, including any Code that does not open a Memory, within [7] days of delivery. Include photos where possible. We will replace or re-print the affected items, or refund them if we cannot.
13.4 Cancellation
You may cancel a standard order without charge before we dispatch it. Customized orders cannot be cancelled once you have approved the proof, because we produce them specifically for you. We may keep the deposit to cover costs we have already incurred.
13.5 Refusing orders
We may decline or cancel an order in these cases:
- the requested customization breaches these Terms or the law;
- the price shown was obviously wrong; or we suspect fraud.
If you have already paid for an order we cancel, we will refund what you paid.
14. Business Customers and resellers
If you buy Products for resale or for clients, for example as a gift shop, stationery store or event planner:
- Your customers use Memorecs under these Terms. Make them aware of these Terms and our Privacy Policy. One way is to keep the "memorecs.com/terms" reference printed on our Products.
- Describe Memorecs accurately. Do not make promises about features, storage periods, privacy or support that these Terms do not make. You may not act or contract on our behalf.
- You are responsible for your own sales. This includes your prices, invoices, and returns or refunds owed to your customers under consumer law. Our obligations to you are the ones in Section 13.
- Our brand. You may use the Memorecs name and logo only to sell genuine Memorecs Products and only as we approve. You may not modify, re-brand or alter Codes, or attach them to products that we did not supply.
- For events, you may set up and manage a Guestbook for your client. You must hand control of it to your client, or follow their instructions about it, and Section 11 applies to you as well.
15. Consumer rights
If you buy from us directly as a consumer, you have the rights that Egyptian Consumer Protection Law No. 181 of 2018 gives you, and these Terms do not reduce them. These include the right to return or exchange a non-customised Product within the period set by law, and longer rights for defective Products. Products that are personalised to your specifications may be excluded from the general right to return, to the extent the law allows, but your rights for defective Products still apply. We will provide an invoice for every purchase.
16. Storage, availability and long-term access
- How long Content stays. Unless a Product's description states a storage period, we keep a Memory available for as long as we operate the Service, subject to these Terms. We do not delete Memories just because they have not been opened for a while.
- Limits. Products may have limits on file size, length, the number of entries or the number of contributions. These limits are shown on screen or in the Product description.
- Formats. To keep Memories playable on current devices, we may convert, compress or migrate Content to new formats, storage systems or providers.
- No guarantee of uninterrupted service. We work hard to keep Memorecs reliable, but no online service is perfect. Outages, data loss and errors can happen. That is why Section 8.5 asks you to keep your own copies.
- "Lifetime" or "forever". If we use words like these to describe a Product, they mean for as long as Memorecs operates the Service. They do not promise that any particular technology, file format, provider or the company itself will last indefinitely.
- If we close a Product or the Service. We will give at least [90] days' notice by email to Account holders, and on our website. Before access ends, we will offer Account holders a way to download Content from their Claimed Codes.
17. Prices, payment and taxes
Prices are in Egyptian pounds unless stated otherwise. Prices include VAT where it applies, and delivery charges are shown separately. Payments are processed by third-party payment providers, and we do not store full card details. For Business Customers, the payment terms in the quotation or invoice apply. If you pay late, we may pause production or delivery. A price change never affects an order we have already confirmed.
18. Third-party links and content
A Memory can link to or embed content hosted elsewhere, such as a video or a song on another platform. That content is controlled by its provider, and its provider's terms and privacy practices apply to it. We are not responsible for it, and it may stop working if the provider removes it.
19. Suspension, termination and deletion
19.1 By you
You can stop using the Services at any time. You can delete Memories that you own, or your Account, from your dashboard. Deleting your Account deletes your Claimed Memories and Guestbooks. Download anything you want to keep first.
19.2 By us
We may suspend or end your access to all or part of the Services, or deactivate Codes, in these cases:
- you seriously or repeatedly breach these Terms;
- we must do so by law or by order of a competent authority; or
- it is necessary to protect Viewers, Guests, other users or the Services.
Where it is reasonable and lawful, we will give you notice and a chance to fix the problem first. If we end a paid Service without your fault, we will refund the unused part.
19.3 What happens to Content
After deletion, Content is removed from our live systems promptly. Backup copies are overwritten within a limited period. We may keep some information for longer where the law requires it, for a pending report or appeal, for a dispute, or to prevent repeat abuse, as described in our Privacy Policy. Sections 7.4, 8, 14 and 20 to 26 survive termination.
20. Our intellectual property
The Services belong to Memorecs or our licensors, including our software, designs, Code formats, brand names (including "Memorecs", "Message", "Guestbook" and "Journal") and logos. Your User Content is not included. We give you a personal, non-transferable and revocable right to use the Services as these Terms allow. If you send us feedback or suggestions, we may use them freely, without paying you and without naming you.
21. Disclaimers
The Services are provided "as is" and "as available", to the fullest extent Egyptian law allows. We do not promise that the Services will be uninterrupted, error-free or compatible with every device. We also do not promise that Content will never be lost. We are not responsible for Content added by Owners, Guests or other users. Nothing in these Terms excludes a warranty or right that cannot be excluded by law.
22. Events beyond our control
We are not responsible for delays or failures caused by events beyond our reasonable control. Examples include natural disasters, epidemics, war, government action, power or internet failures, failures of cloud or courier providers, and cyber-attacks we could not reasonably have prevented.
23. Limitation of liability
To the fullest extent Egyptian law allows:
(a)we are not liable for indirect or consequential loss, such as loss of profit, business, goodwill or opportunity; and
(b)our total liability to you for all claims connected with the Services is limited to the greater of:
- the amounts you paid us in the 12 months before the claim arose; or
For a Business Customer, our total liability for an order is limited to the price of that order.
These limits do not apply where liability cannot legally be limited, including liability for fraud, gross negligence, wilful misconduct, death or personal injury, or for breaching mandatory consumer or data-protection rights.
24. Your responsibility to us
You will compensate Memorecs for reasonable losses and costs, including legal fees, arising from third-party claims caused by:
- your Content;
- your breach of these Terms or the law; or
- for Business Customers, your sales, representations or events.
This does not apply to the extent that we caused the loss.
25. Complaints, governing law and disputes
25.1 Contact us first
Please contact us first at info@memorecs.com or +20 101 143 6600, and we will try to resolve the issue within 30 days.
25.2 Governing law
These Terms are governed by the laws of the Arab Republic of Egypt.
25.3 Courts
Disputes will be decided by the competent courts of [Cairo / Giza], Egypt.
25.4 Your statutory rights
Nothing in this Section limits your right to complain to:
- the Consumer Protection Agency (for consumer matters); or
- the Personal Data Protection Center (for personal-data matters).
Nor does it limit any other mandatory right you have.
26. General
26.1 Changes to these Terms
We may update these Terms. When we do, we will change the "Last Updated" date. For material changes, we will notify Account holders by email or in the Service at least [30] days before the changes take effect, unless a change is legally required sooner. If you continue to use the Services after that date, you accept the updated Terms. If you do not agree, you may delete your Account before the changes take effect.
26.2 Language
These Terms are available in Arabic and English. If the two versions conflict, the Arabic version prevails to the extent required by Egyptian law.
26.3 Entire agreement
These Terms, our Privacy Policy, and any quotation, order confirmation or data-processing agreement we sign with you, make up the whole agreement between us. A signed agreement or quotation prevails over these Terms where they conflict.
26.4 Other terms
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of our business, and we will tell you if we do.
- Severability. If a court finds part of these Terms invalid, the rest of the Terms still applies.
- No waiver. If we delay enforcing any part of these Terms, we can still enforce it later.
- Electronic notices. We may send notices by email, SMS, WhatsApp or within the Service. These notices satisfy any requirement for notice in writing.
